Unlisted shares carry materially higher risk than listed securities: illiquidity, indicative pricing, lock-ins, settlement risk, and no exchange or investor-protection cover.

Unlisted shares are not traded on a stock exchange. There is no continuous market, no guaranteed buyer, and you may be unable to sell when you want to — or at all. Treat any capital you commit as locked for an indefinite period, and only invest money you can genuinely afford to lock away.
This single feature drives most of the other risks. Without a ready market, prices are uncertain, exits are slow, and a position that looks attractive on paper can be hard to turn back into cash.
Prices are indicative, not live. They reflect recent transactions or the desk's assessment and can move materially before a trade is agreed; the final price is the one confirmed on your allocation. Some shares carry statutory or company-imposed lock-ins and transfer restrictions — a post-listing lock-in on pre-IPO stock, a right of first refusal, or a board-approval requirement — that can delay or prevent settlement.
Settlement itself is off-exchange and happens through the desk. Although money flows in before shares flow out, and shares flow in before any payout, a transfer can still be delayed by depository timelines, corporate actions, or company-level restrictions. Timeframes are typical, not guaranteed.
These are private, off-market transactions. They are not covered by stock-exchange settlement guarantees, investor-protection funds, or the exchange dispute-resolution mechanisms that apply to listed trading. If something goes wrong, the protections you may be used to in the listed market are simply not there.
Payment is by direct bank transfer to the operating entity's published account, with no payment gateway and no escrow. Never transfer money to a personal account or to any account shared over phone, WhatsApp or email — even by someone claiming to be from the team.
Unlisted companies disclose far less than listed ones, and less often. Company information on the platform is compiled from sources believed reliable but is not independently verified — do your own diligence before you act. There is also a real risk that an expected IPO never happens, or happens on terms very different from what was assumed.
Because individual unlisted positions are hard to exit and hard to value, concentration is dangerous. Nothing on the platform is investment advice, a recommendation, or an offer; consult a SEBI-registered adviser and read the full Risk Disclosure before you invest.
This guide is general educational information about unlisted shares — not investment, legal, or tax advice, not a recommendation, and not an offer. Unlisted shares are illiquid and carry a high risk of loss. Read the full Risk Disclosure and do your own diligence, and consult a SEBI-registered adviser, before you invest.
