Unlisted shares are illiquid and carry higher risk than listed securities. Prices are indicative, not live. Read the risk disclosure.
wisefolio's unlisted desk is a principal counterparty: you buy from the desk and sell to the desk, with money-in before shares-out. Here is the process end to end.

The wisefolio unlisted desk is operated by Prospire Network Private Limited (CIN U82300UP2025PTC233622), and it acts as a principal counterparty on every trade. When you buy, you buy from the desk; when you sell, you sell to the desk. Shares always route through the desk's own demat account, so there is one accountable party for the whole trade instead of an anonymous seller or buyer you found in a chat group.
This matters because the biggest practical risk in unlisted trading is counterparty risk — paying someone who never delivers, or delivering shares to someone who never pays. Routing every trade through one named entity is how that risk is contained.
Buying follows five stages. First, you raise an enquiry on the company you want, with the quantity. Second, the desk sources the shares and comes back with a firm price and an allocation for the quantity it can supply. Third, you review the price, quantity and total and accept the allocation — the quote is valid for a short window before it needs re-pricing. Fourth, you transfer the funds by direct bank transfer to the desk's published account. Fifth, once payment is verified, the shares are transferred from the desk's demat into yours, and you receive a confirmation.
The order is deliberate: money in before shares out. Your payment is verified before shares move, and the price you pay is the one confirmed on your allocation — not a stale screen price.
Selling runs the same way in reverse. You raise a sell enquiry with the company, quantity and the price you are looking for, and share proof that the shares are yours. The desk confirms a firm buying price. You transfer your shares into the desk's demat account, and once the desk verifies the credit, you are paid out by direct bank transfer to your own registered bank account.
Here the safeguard runs the other way: shares in before payout. The desk never releases money before your shares are received and verified. There is a dedicated guide on selling, and a separate one on selling exercised ESOP shares.
Payment is by direct bank transfer to Prospire Network Private Limited's published account, shown to you in-app at the payment step. There is no card gateway and no escrow. There are no separate platform fee lines and no GST on the transfer — the desk's margin is built into the price it quotes. The only statutory add-on on a purchase is stamp duty on the consideration, shown in your cost breakdown.
One rule protects you above all others: never transfer money to a personal account, or to any account shared over phone, WhatsApp or email — even if the person claims to be from the team. The only valid account details are the ones displayed in-app at the payment step, and you can cross-check them on the bank-verification page.
This guide is general educational information about unlisted shares — not investment, legal, or tax advice, not a recommendation, and not an offer. Unlisted shares are illiquid and carry a high risk of loss. Read the full Risk Disclosure and do your own diligence, and consult a SEBI-registered adviser, before you invest.
