Nisus BCD Special Opportunities Trust (IN/AIF2/22-23/1178) is a SEBI-registered Category II AIF and the Real Estate Special Opportunities Fund – 1 (RESO-I) of Nisus Finance Group (NiFCO), managed by Nisus Finance Services Co Limited — one of India's first BSE-SME-listed alternative asset management companies, listed in December 2024 at a market cap of approximately INR 430 crore. RESO-I is a collaboration between NiFCO and BCD India (a leading real estate project management, construction, and technical advisory firm), targeting special situation real assets with high margin of safety, providing in-house technical, financial, and operational support to investee companies. Founded by Dr. Amit Goenka in 2014 (originally incorporated as Molior Realty Private Limited in 2013, renamed Nisus Finance Services Co Private Limited in 2014, converted to a public company in 2024), NiFCO specialises in urban infrastructure finance and private capital market transactions. AUM stands at approximately INR 1,700 crore (USD 200 million) across fund management, transaction advisory, and NBFC lending verticals, with offices in India and the UAE (DIFC). The firm has successfully invested, managed, and exited over USD 500 million in real estate structured credit investments. NiFCO manages multiple AIFs: RESO-I (this fund), Nisus High Yield Growth Fund, RECOF-1, REAP-1, and a GIFT City (IFSC) fund. Investment Philosophy

Nisus Finance Group's investment philosophy is encapsulated in Dr. Amit Goenka's maxim: 'When money realizes that it is in good hands, it wants to stay and multiply in those hands thereby shaping into an everlasting legacy.' NiFCO focuses on investments across Real Estate and urban infrastructure through its Category II AIF funds, applying a structured credit and special situations approach. For RESO-I specifically, the strategy is to identify special situation real assets with a high margin of safety — distressed or undervalued real estate opportunities where the combination of in-house technical expertise (via BCD India), financial structuring (via NiFCO), and operational turnaround support can unlock value. The BCD-NiFCO collaboration creates a unique value proposition: capital synergies between an asset manager with deep market relationships and a project management firm with on-ground technical execution capability. Investments are underwritten with a focus on capital protection, margin of safety, and structured return profiles in real estate construction finance, special situations, and urban infrastructure.

Dr. Amit Goenka is the Founder, Chairman, and Managing Director of Nisus Finance Group (NiFCO). He is one of India's leading experts on real estate and urban infrastructure, and has been instrumental in building NiFCO into India's first BSE-listed alternative asset management company. He has successfully invested, managed, and exited over USD 500 million in real estate structured credit investments. Previously, he was Founder MD & CEO of Essel Finance (ZEE Group), managing a INR 750 crore real estate domestic AIF, PMS, and offshore fund. As Executive Director at Knight Frank India, he transacted nearly USD 700 million across Indian real estate. He also worked with Investment Dar/Alghanim Group (leading a USD 4 billion Islamic Fund in the Middle East), Ernst & Young, and Aditya Birla Group. He holds a BE, MBA, MFM, and MRICS.
